Terms of Service

These Terms of Service ("Terms") govern your access to and use of the VestaGlass platform, websites, and related services (collectively, the "Service") provided by VestaGlass ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at security@vestaglass.com if you suspect unauthorized access.

2. Subscriptions & billing

Paid plans are billed in advance on a recurring basis at the rate and interval disclosed at signup. Unless otherwise stated, fees are non-refundable. You may cancel at any time; cancellation takes effect at the end of the current billing period. We may change pricing with reasonable advance notice.

3. Acceptable use

You agree not to:

  • Use the Service to violate any law or third-party right.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service except as permitted by law.
  • Probe, scan, or test the vulnerability of the Service without prior written permission (see our responsible disclosure policy).
  • Interfere with or disrupt the Service, including by introducing malware, sending excessive automated requests, or attempting to overwhelm our infrastructure.
  • Use the Service to send spam, phishing, or other unsolicited communications.
  • Resell, sublicense, or provide the Service to third parties outside the scope of your subscription.

4. Your content & data

You retain all rights to the data and content you submit to the Service ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely as necessary to provide and improve the Service. We will handle Customer Data in accordance with our Privacy Policy.

5. Intellectual property

The Service, including its software, design, and content (other than Customer Data), is owned by VestaGlass and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

6. Third-party services

The Service relies on third-party providers (including authentication, hosting, payment processing, and error monitoring). Your use of those providers is subject to their own terms. We are not responsible for the acts or omissions of third-party providers.

7. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the integrity of the Service. Upon termination, your right to access the Service ends. We may retain Customer Data for a limited period as described in our Privacy Policy.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VESTAGLASS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold VestaGlass harmless from any claim or demand, including reasonable attorneys' fees, arising out of your use of the Service, your Customer Data, or your violation of these Terms.

11. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in-product notification). Continued use of the Service after the effective date of the changes constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
